Dasseti Terms and Conditions
General Terms of Use

These General Terms of Use (the “Terms”) set forth the legally binding terms and conditions governing access to, and use of, the website, platform, applications, and related free services made available by Dasseti, Inc. (“Dasseti,” “we,” “us,” or “our”).
By accessing the website, registering an account, or otherwise using the Solution, you acknowledge and agree to be bound by these Terms. If you do not agree with these Terms, you must immediately discontinue access to the website and cease using the Solution.
These Terms apply to:
- Visitors – individuals browsing, interacting with, or otherwise making use of our publicly available website.
- Users – individuals who create a free account or otherwise access the Solution, including those acting on behalf of a Third-Party Company.
These Terms are distinct from, and do not replace or alter, any master services agreements or subscription agreements entered into with clients of Dasseti, which are subject to their own terms.
1. Definitions
For the purposes of these Terms, the following definitions shall apply:
- “Agreement” means these Terms, together with any other supplemental terms, policies, notices, or amendments that Dasseti may implement from time to time.
- “Dasseti” means Dasseti, Inc., including its affiliates, subsidiaries, and any other entities that are controlled by, control, or are under common control with Dasseti.
- “Solution” means the technology products, platforms, applications, features, websites, and other interfaces owned, operated, or made available by Dasseti, whether now existing or developed in the future.
- “Third-Party Company” means a company or other legal entity accessing or using the Solution, including for the purpose of responding to requests for data or information submitted by Dasseti clients.
- “User” (also referred to as “you”) means any individual who registers for, accesses, or uses the Solution, whether directly or on behalf of a Third-Party Company, through the use of a unique username, password, or other access credentials.
- “User Content” means all content, data, documents, text, graphics, images, or other material, in any form or format, that a User uploads, submits, or otherwise makes available through the Solution.
2. User Accounts and Responsibilities
2.1 Account Registration. To access certain features of the Solution, you may be required to register for an account. When registering, you agree to provide information that is true, accurate, current, and complete, and to update such information as necessary to ensure it remains accurate and current.
2.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You acknowledge and agree that you are fully responsible for all activities that occur under your account, whether authorized by you or not.
2.3 Unauthorized Use. You must immediately notify Dasseti if you suspect or become aware of any unauthorized use of your account, or of any breach of security involving the Solution. Dasseti shall not be liable for any losses you incur as a result of unauthorized use of your account, and you may be held liable for losses incurred by Dasseti or others due to such unauthorized use.
2.4 Suspension and Termination. Dasseti reserves the right, at its sole discretion and without liability, to suspend, restrict, or terminate your account and access to the Solution in the event of: (i) a suspected or actual breach of these Terms; (ii) any misuse or unlawful activity; or (iii) any activity that, in Dasseti’s reasonable judgment, poses a risk to the security, integrity, or functionality of the Solution.
3. Acceptable Use Policy
3.1 Lawful Use. You agree to use the website and Solution only for lawful purposes and in accordance with these Terms and all applicable laws, regulations, and industry standards.
3.2 Prohibited Conduct. Without limitation, you shall not:
- Engage in any activity that infringes, misappropriates, or violates the intellectual property, privacy, or other legal rights of any person or entity.
- Upload, transmit, or distribute any viruses, worms, malware, spyware, or other malicious code.
- Interfere with, disrupt, disable, overburden, or impair the performance, security, or availability of the Solution.
- Circumvent or attempt to bypass any security measures, authentication procedures, or technical limitations of the Solution.
- Collect or harvest information from other users of the Solution without their prior consent.
- Use automated scripts, bots, or similar methods to access or interact with the Solution.
- Use the Solution in a manner intended to create spam, fraudulent content, misleading information, or otherwise harmful material.
4. Intellectual Property Rights
4.1 Ownership. All rights, title, and interest in and to the Solution, including but not limited to its content, software, source code, databases, trademarks, service marks, trade names, logos, and all other intellectual property, are and shall remain the exclusive property of Dasseti or its licensors.
4.2 License to Use Solution. Subject to compliance with these Terms, Dasseti grants Users a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Solution solely for its intended purpose. No rights are granted to Users except as expressly stated herein.
4.3 Restrictions. Users shall not copy, modify, distribute, reproduce, reverse-engineer, decompile, disassemble, or create derivative works based on the Solution, except to the limited extent that such restrictions are prohibited by applicable law.
5. User Content
5.1 Ownership of User Content. You retain all ownership rights in and to your User Content. Dasseti does not claim ownership of User Content submitted through the Solution.
5.2 License to Dasseti. By submitting User Content through the Solution, you grant Dasseti a worldwide, royalty-free, limited license to host, store, process, display, and transmit such User Content solely as necessary to operate, maintain, and provide the Solution and related services.
5.3 User Representations. You represent and warrant that:
- You have all rights, licenses, and permissions necessary to submit the User Content;
- The User Content does not and will not infringe the intellectual property, privacy, or other rights of any third party; and
- The User Content complies with all applicable laws, regulations, and these Terms.
5.4 Responsibility for User Content. You are solely responsible for the accuracy, quality, and legality of your User Content, as well as for the means by which you acquired such content. Dasseti shall have no responsibility or liability for User Content.
6. Privacy and Data Protection
Your use of the Solution is subject to Dasseti’s Privacy Policy, which explains how Dasseti collects, processes, and protects personal information. By using the Solution, you acknowledge that you have reviewed and agree to the Privacy Policy.
7. Disclaimers and Limitations of Liability
7.1 Disclaimer of Warranties. The Solution is provided on an “as is” and “as available” basis. Dasseti makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, or uninterrupted operation.
7.2 Service Interruptions. Dasseti does not warrant that the Solution will be available without interruption, secure, error-free, or free of harmful components. Temporary interruptions may occur for maintenance, security updates, or factors beyond Dasseti’s reasonable control.
7.3 Limitation of Liability. To the fullest extent permitted by applicable law, Dasseti, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of data, revenue, profits, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Solution.
7.4 User Responsibility. You are solely responsible for evaluating the accuracy, suitability, and completeness of any information, content, or materials accessed through the Solution. Dasseti disclaims any responsibility for reliance placed by Users on such information.
8. Indemnification
You agree to indemnify, defend, and hold harmless Dasseti and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) arising from or relating to: (i) your access to or use of the Solution; (ii) your violation of these Terms; or (iii) your infringement or misappropriation of any rights of a third party.
9. Modifications to Terms
Dasseti may amend these Terms at any time. Updates will be effective immediately upon posting at [www.dasseti.com/terms], unless otherwise stated. If material changes are made, Dasseti will notify Users by email or through other reasonable means. Your continued use of the Solution following any modification constitutes acceptance of the revised Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, USA, without regard to its conflicts of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of such courts.
